  5. KeyText is distributed at no charge to you for evaluation purposes
  6. only, and you may distribute it freely, on the terms and conditions
  7. stated herein.
  8. BY COMPLETING INSTALLATION OF THE KEYTEXT PROGRAM
  9. YOU AGREE WITH MJMSOFT DESIGN LIMITED TO BE BOUND
  10. BY THE TERMS OF THIS LICENSE WHICH WILL GOVERN
  11. YOUR USE OF THE KEYTEXT PROGRAM.
  12. If you find KeyText useful and that you are using it and continue
  13. to use it after 30 days, you must pay a registration fee to the
  14. Company of the amount specified on the MJMSoft Design www site.
  15.  
  16. 1. DEFINITIONS
  17. The "Company" means MJMSoft Design Limited, a company incorporated 
  18. in the United Kingdom under the laws of Scotland and registered
  19. under the Companies Act 1985 (registered number 183702) and having
  20. its registered office at 56 Kingsknowe Drive, Edinburgh, EH14 2JX,
  21. United Kingdom. The "Software" means the KeyText program, being
  22. the program available by accessing the attached files and available
  23. for use on the Windows 95, 98, ME, NT4, 2000, XP or Vista operating
  24. systems, and any future version 3 releases of the Software. The
  25. "Unlock Code" is a series of characters supplied by the company
  26. which will allow the registered user continued use of the Software,
  27. with full use of all its features.

  29. 2. LICENCE
  30. 2.1 Completion of the installation of the Software licences you to 
  31. use the Software personally on one or more computers for
  32. evaluation purposes only. The Licence is transferable in terms of
  33. Clause 7 and will terminate at the end of 30 days subject to
  34. payment of the registration fee and completion of the registration
  35. process.
  36. 2.2 Payment of the registration fee and completion of the
  37. registration process will automatically continue the term of the
  38. Licence, and the Company will supply an Unlock Code which will
  39. allow continued use. You agree not to apply the Unlock Code on more
  40. than one computer at a time. However, you may install an individual
  41. copy simultaneously on one computer at work, one computer at home,
  42. and one portable computer, IF (and ONLY if) all these computers are
  43. used primarily by the same individual, and there is no possibility
  44. that the computers will be in use at the same time except while you
  45. are actively transferring files between them.
  46. The Unlock Code is supplied solely for use by the registered user,
  47. and you agree not to share it with any other person. If it is
  48. intended that more than one person will use the Software they must
  49. register separately with the Company and make payment of the
  50. registration fee. If it is intended that the Software will be used
  51. on more than one computer at the same time you should contact the
  52. Company to obtain the appropriate Licence.
  53. 2.3 This Licence covers this release and any future version 3
  54. releases of the Software.

  56. 3. TERM
  57. This Licence as extended pursuant to clause 2.2 of this Licence
  58. is effective until terminated by destruction of the Software and
  59. all associated documentation together with all copies of the
  60. Software. It will also terminate if you fail to abide by its
  61. terms. Upon termination you agree to destroy all copies of the
  62. Software and all documentation including any Software stored on
  63. the hard disk of any computer under your control.
  64.  
  65. 4. WARRANTIES
  66. The Company warrants that the Software will perform substantially
  67. in accordance with the description contained in the file
  68. readme.txt accompanying the Software (provided that the Software
  69. is properly used on the the operating system for which it is
  70. designed) and that the description correctly describes the
  71. operation of the Software in all material respects.
  72. Notwithstanding the generality of the foregoing, the Company will
  73. not be liable to you for any loss or damage of any kind arising
  74. out of the disclosure of data stored by the Software, including
  75. where that data has been protected by password.
  76. THE EXPRESS TERMS OF THIS LICENSE ARE IN LIEU OF
  77. ALL WARRANTIES, CONDITIONS, UNDERTAKINGS, TERMS
  78. AND OBLIGATIONS APPLIED BY STATUTE, COMMON LAW,
  79. TRADE USAGE, COURSE OF DEALING OR OTHERWISE ALL
  80. OF WHICH ARE HEREBY EXCLUDED TO THE FULLEST
  81. EXTENT PERMITTED BY LAW.
  82. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE
  83. WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION
  84. OF THE SOFTWARE WILL BE UNINTERRUPTED OR
  85. ERROR-FREE OR THAT ANY DEFECTS IN THE SOFTWARE
  86. WILL BE CORRECTED. THE COMPANY DOES NOT WARRANT
  87. THAT THE SOFTWARE WILL OPERATE CORRECTLY IN
  88. THOSE SITUATIONS DESCRIBED IN THE "KNOWN
  89. LIMITATIONS" SECTION OF THE HELP FILE, WHICH IS
  90. HEREBY INCORPORATED BY REFERENCE.
  91. THE SOFTWARE IS NOT DESIGNED, MANUFACTURED OR
  92. INTENDED FOR USE OR RESALE FOR ONLINE CONTROL
  93. EQUIPMENT IN HAZARDOUS ENVIRONMENTS REQUIRING
  94. FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION
  95. OF NUCLEAR FACILITIES, AIRCRAFT NAVIGATION OR
  96. AIRCRAFT COMMUNICATION SYSTEMS, AIR TRAFFIC
  97. CONTROL, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS
  98. SYSTEMS, IN WHICH FAILURE OF THE SOFTWARE COULD
  99. LEAD TO DEATH, PERSONAL INJURY, OR SEVERE
  100. PHYSICAL OR ENVIRONMENTAL DAMAGE. YOU SHALL LOAD
  101. AND USE THE SOFTWARE AT YOUR OWN RISK AND IN NO
  102. EVENT WILL THE COMPANY BE LIABLE TO YOU FOR ANY
  103. LOSS OR DAMAGE OF ANY KIND (EXCEPT PERSONAL
  104. INJURY OR DEATH RESULTING FROM THE COMPANY'S
  105. NEGLIGENCE) INCLUDING LOSS OF PROFITS OR OTHER
  106. CONSEQUENTIAL LOSS ARISING FROM YOUR USE OF OR
  107. INABILITY TO USE THE SOFTWARE OR FROM ERRORS OR
  108. DEFICIENCIES IN IT WHETHER CAUSED BY NEGLIGENCE
  109. OR OTHERWISE EXCEPT AS EXPRESSLY PROVIDED HEREIN.
  110. IN NO EVENT SHALL THE COMPANY'S LIABILITY EXCEED
  111. THE REGISTRATION FEE PAID BY YOU FOR THE
  112. SOFTWARE.
  113. The provisions for technical support in Clause 5 and/or repayment
  114. of the registration fee represents your sole remedies for any
  115. breach of the Company's warranties, which are given to the
  116. registered user.

  118. 5. SUPPORT
  119. The Company will provide free technical support in relation to the
  120. Software by mail or e-mail, which support is limited to advice and
  121. assistance relating to the installation and operation of the
  122. Software itself, and shall be provided for a period of 30 days, or
  123. 90 days if registered, from the date on which you make your first
  124. request to the Company for support. The Company does not undertake
  125. to give advice on "scripts" to perform specific tasks in other
  126. software applications. If you are experiencing difficulties in
  127. operating the Software you should refer to the Help file, including
  128. the section "Frequently asked questions", or, where appropriate, to
  129. the user manual for your operating system or to your IT department.
  130.  
  131. 6. COPYRIGHT
  132. All title and copyright in and to the Software and any copies
  133. thereof are owned by the Company and the Company shall at all
  134. times retain ownership of the Software. You must maintain all
  135. copyright notices on all copies of the Software.
  136.  
  137. 7. TRANSFER
  138. You are permitted to transfer the Software and the benefit of this
  139. Licence to another person provided that he has agreed to accept 
  140. all the terms of this Licence and you contemporaneously transfer
  141. all copies of the Software you have made to that person or destroy
  142. all copies not transferred. If any transferee does not accept such
  143. terms then the Licence to the transferee shall automatically
  144. terminate. The transferee must register their details with the
  145. Company in order to obtain the benefit of the Licence.

  147. 8. RESTRICTIONS
  148. Except as expressly permitted by this Licence and save to the
  149. extent and in the circumstances required to be permitted by law
  150. you may not rent, lease, sub-licence, loan, copy, modify, adapt,
  151. merge, translate, reverse engineer, decompile, disassemble or
  152. create derivative works based on the whole or any part of the
  153. Software.
  154. You must comply with all applicable local laws regarding the use
  155. of the Software.

  157. 9. DISTRIBUTION
  158. You may distribute the evaulation version of the Software
  159. freely, provided you do not receive any direct payment for such
  160. distribution, and you include all the files in the original
  161. distribution.
  162. Any distribution may only be made subject to the terms of this
  163. Licence and any person receiving the Software must accept the
  164. terms of this Licence prior to completion of installation of the
  165. Software.

  167. 10. MISCELLANEOUS
  168. All rights not expressly granted herein are reserved to the
  169. Company.
  170.  
  171. 11. ENTIRE AGREEMENT
  172. This Licence supersedes any and all prior proposals, arrangements,
  173. understandings, agreements, whether oral or written, and any other
  174. communications between you and the Company relating to the
  175. Software.
  176.  
  177. 12. GOVERNING LAW
  178. This Licence shall be governed by and construed in accordance with
  179. the Laws of Scotland and the parties hereby prorogate the
  180. jurisdiction of the Scottish courts.
